Terms of Service
Please review these Terms carefully—they govern your access to and use of VidPal products and services.
1. Acceptance of Terms
These Terms of Service (“Terms”) form a binding agreement between you and PepoCloud LLC (“VidPal,” “we,” “our,” or “us”) and govern your access to and use of our websites (including vidpal.ai), applications, video recording tools, video editing and sharing features, AI enhancement services, analytics, campaign services, integrations, and related services (the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to the entity.
2. Privacy
Our Privacy Notice describes how we collect, use, and share personal data. By using the Services, you acknowledge that your information will be processed in accordance with that notice.
3. Eligibility and Authority
You must be at least 18 years old (or the age of legal majority in your jurisdiction) and capable of entering into a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind the organization to these Terms.
4. Accounts and Security
You may need an account to use certain features. You must provide accurate, current information and keep it updated. You are responsible for safeguarding your credentials and for all activities under your account. Notify us immediately of any unauthorized use of your account. We may reclaim usernames on behalf of businesses or individuals that hold legal rights to those names.
5. Use of the Services
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your business or personal purposes. We may modify, suspend, or discontinue the Services (in whole or in part) at any time. Certain features may be in beta or pre-release and may change without notice.
6. Your Content and Permissions
You retain ownership of videos, recordings, and other content you upload to the Services (“User Content”). By uploading content, you grant VidPal a worldwide, royalty-free, non-exclusive license to store, process, transcode, and display your User Content solely as needed to provide and improve the Services.
You represent and warrant that you have all rights necessary to grant this license and that your User Content does not infringe or violate any third party's rights.
You must not upload content that is illegal, harmful, defamatory, obscene, or that infringes on the intellectual property or privacy rights of others.
7. VidPal Intellectual Property
The Services, including all software, design, text, graphics, logos, trademarks, and other materials, are owned by VidPal or our licensors and are protected by intellectual property laws. Except for the limited rights expressly granted to you in these Terms, we reserve all rights in and to the Services. Our trademarks may not be used without our prior written consent.
8. Acceptable Use
You may not use the Services to: (a) reverse engineer, decompile, or disassemble the Services; (b) interfere with or disrupt the Services or servers; (c) use the Services for any illegal purpose; (d) upload or transmit malware, viruses, or other harmful code; (e) scrape, harvest, or collect data from the Services without authorization; (f) impersonate any person or entity; (g) circumvent any access controls, authentication mechanisms, or usage limits; or (h) use bots, crawlers, or other automated tools to access the Services without our prior written permission.
9. Integrations and Third-Party Services
The Services allow you to connect with third-party platforms and integrations. When you enable an integration, you authorize us to transmit and receive data between VidPal and the third-party service as necessary to provide the integration functionality.
Your use of third-party services is governed by those services' own terms and privacy policies. You are responsible for maintaining your credentials and permissions with third-party services.
We are not liable for any issues arising from third-party services, including downtime, data loss, or changes to their APIs or terms.
10. Use of AI Processing Services
VidPal uses third-party AI services to power its content generation pipeline, including:
- OpenAI — script generation (GPT-4o), text-to-speech narration (tts-1-hd / gpt-4o-mini-tts), and topic classification.
- Replicate — hosted AI models for image generation (Flux Schnell) and alternative TTS voices (Kokoro-82m, Qwen3-TTS).
- AssemblyAI — word-level audio transcription used to time on-screen captions.
- Pexels and Pixabay — royalty-free stock video clips composited into rendered videos. Photographer attribution is shown in the editor wherever a clip surfaces.
- Tavily — public web search used as a fallback content source by the curation pipeline.
When you generate content, your prompt, script, and voiceover audio may be sent to these providers for processing. By using VidPal's generation features, you consent to this processing.
We select AI providers that maintain appropriate security standards. However, you acknowledge that data processed by third-party AI services is subject to those providers' own terms and privacy policies.
11. Video Content and Recordings
You own your recordings and video content. We process and store videos on your behalf to provide the Services, including transcoding, thumbnail generation, and delivery.
Videos you share are accessible via unique URLs. You are responsible for the content you share publicly and for managing access controls (such as password protection) where appropriate.
We reserve the right to remove content that violates these Terms, applicable law, or our acceptable use policies.
12. Campaigns and Personalized Links
VidPal allows you to create campaigns with personalized video links for recipients. Campaign recipient data (including names, email addresses, and custom tokens) is used solely to generate personalized video links and track engagement.
You are responsible for ensuring your use of campaigns complies with applicable email and marketing laws, including CAN-SPAM, GDPR, and other anti-spam regulations, when distributing campaign links.
You represent and warrant that you have obtained all necessary consent to use recipient data in connection with the Services.
13. Paid Plans, Trials, and Renewals
Certain features require a paid subscription. Fees are displayed at checkout and charged on a recurring basis. Subscriptions auto-renew unless canceled before the renewal date. Pricing may change with reasonable notice. Fees are non-refundable once a billing period has begun.
Plan-Specific Limits
- Free: 10 video uploads, 5 AI caption credits, 1 campaign
- Starter: 100 video uploads, 50 AI caption credits, 10 dubbing credits, 10 campaigns
- Pro: Unlimited video uploads, 200 AI caption credits, 50 dubbing credits, unlimited campaigns, team libraries
Specific plan features and limits are described on our pricing page and may be updated from time to time.
14. Fair Usage Policy
Features described as “unlimited” are subject to a fair usage policy. Fair usage limits include:
- Video recording sessions are limited to a maximum of 2 hours per session
- API calls are subject to reasonable rate limits
- Storage usage should be consistent with typical individual or team usage patterns
If your usage significantly exceeds normal patterns, we will notify you and work with you to find a suitable solution before taking any action that may affect your access.
15. Taxes and Additional Costs
All prices are exclusive of taxes unless otherwise stated. You are responsible for any applicable taxes, duties, and currency conversion fees associated with your use of the Services.
16. Video Viewers and Interactions
If you share videos publicly or distribute them through campaigns, you are responsible for managing your relationships with viewers, including compliance with applicable privacy and data protection laws.
You are responsible for obtaining any necessary viewer consent. We are not liable for any disputes between you and your viewers.
17. Beta and Experimental Features
We may offer beta or experimental features that are provided “as is” without any warranties. Beta features may be changed, suspended, or discontinued at any time without notice. Beta features may have different levels of reliability, availability, and security than generally available features.
18. Suspension and Termination
We may suspend or terminate your access to the Services at any time if: (a) you breach these Terms; (b) we are required to do so by law; or (c) we determine it is necessary to protect the Services, our users, or the public.
You may stop using the Services at any time. Upon termination, your right to use the Services ceases immediately.
Provisions that by their nature should survive termination — including ownership, warranty disclaimers, indemnification, and limitations of liability — shall survive.
19. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, PEPOCLOUD LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEPOCLOUD LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
21. Indemnification
You agree to indemnify, defend, and hold harmless PepoCloud LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.
22. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and you consent to personal jurisdiction in those courts.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST PEPOCLOUD LLC.
23. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. For material changes, we will provide reasonable notice (such as by email or a prominent notice within the Services).
Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.
24. AI-Generated Content and User Responsibility
Portions of the Services produce content using artificial intelligence, including scripts, voiceovers, imagery, video compositions, and social media captions (“AI Output”). This section governs your use of AI Output and is in addition to the general terms above.
Ownership and license
As between you and us, you own the AI Output that the Services generate for your account, subject to the rights of upstream providers (for example, Pexels stock clips remain licensed under their respective terms). You grant us a limited, worldwide, non-exclusive license to host, transform, and deliver AI Output as necessary to operate the Services on your behalf.
Human review is required before publishing
AI Output drafted by the Services lands in a review queue in your dashboard. You are solely responsible for reviewing each draft, verifying its accuracy, correcting any hallucinated or misleading claims, and explicitly approving it before publishing to any connected third-party platform. The Services do not autonomously publish AI Output without your explicit per-item approval, and you agree not to attempt to configure, script, or otherwise bypass this review step.
AI disclosure labels
Every caption produced by the Services is automatically labeled to indicate that the content is AI-assisted and, where applicable, includes a source attribution link to any public material that informed the draft. You agree to keep these disclosures intact when you publish. You may lightly edit phrasing, but you may not remove the AI-assisted label or the source attribution. Removing or obscuring these labels may violate the content policies of third-party platforms and may result in suspension of your account on those platforms or on the Services.
Accuracy and hallucinations
Large language models and generative image models can produce inaccurate, incomplete, or fabricated information. The Services provide AI Output on an “as is” basis. You acknowledge that AI Output may contain errors, that it is your responsibility to verify factual claims before publishing, and that you are liable for any content you choose to publish through a connected account, regardless of whether it was drafted by the Services.
Prohibited uses of AI Output
You agree not to use the Services, or the AI Output produced by them, to:
- Impersonate any real person or organization, including generating deepfakes or synthetic likenesses without explicit permission from the person depicted.
- Produce or distribute disinformation, deceptive political content, or content that misrepresents its own origin.
- Generate sexual content involving minors, content that glorifies violence against identifiable individuals, or any content prohibited by applicable law.
- Infringe on the intellectual property, publicity, or privacy rights of any third party.
- Circumvent the AI-assisted labels, source attributions, or review requirements described above.
- Publish content at a volume, cadence, or pattern that a reasonable person would consider spam or that violates the platform policies of the destination social network.
We reserve the right to suspend or terminate accounts that produce AI Output in violation of these restrictions.
25. Third-Party Platform Connections and Platform Compliance
You may choose to connect third-party accounts (such as Instagram, Facebook, TikTok, YouTube, or LinkedIn) to the Services in order to publish content on those platforms. Your use of each connected platform is subject to that platform's own terms of service, developer policies, and content guidelines. By connecting an account you agree that:
- You are authorized to publish content to the account you are connecting, and that the account itself is in good standing with the underlying platform.
- You will comply with that platform's content policies at all times, including (without limitation) its policies on spam, authenticity, inauthentic behavior, AI-generated content labeling, intellectual property, and community standards.
- You will not use the Services to perform any action the underlying platform forbids, including but not limited to bulk posting in violation of rate limits, coordinated inauthentic behavior, or evasion of enforcement.
- You are solely responsible for any content you publish through the Services to a connected platform, and for any consequences (including account suspension, demonetization, or legal action) that result from that content.
- We may immediately suspend or disable a connection if the underlying platform requires us to do so, or if we become aware that the connection is being used to violate that platform's policies or applicable law.
- You may revoke a connection at any time, either from within the Services or from the underlying platform's own security settings. Revoking a connection does not remove content that was already published.
Certain platforms (such as Instagram) require a Business or Creator account for API-based publishing. You are responsible for meeting each platform's account eligibility requirements, and we make no warranty that any given platform will remain available or compatible with the Services over time.
26. Automated Content Pipeline Configuration
When you configure the automated content pipeline (for example by selecting topics, a posting cadence, or a brand voice), you direct the Services to aggregate publicly available source material, produce draft content, and notify you when drafts are ready for review. You acknowledge and agree that:
- The Services aggregate content only from publicly accessible sources and do not bypass authentication or technical access controls of any third-party website.
- Draft content derived from a public source will carry an automatic source attribution in its caption. You agree not to remove or obscure this attribution before publishing.
- The source material on which a draft is based may itself be subject to copyright. We produce AI Output in a transformative summary form, but we do not warrant that every resulting draft is a non-infringing derivative work under every jurisdiction. You are responsible for making that assessment before publishing.
- Publishers may request that their source material be excluded from our ingestion catalog. We will honor reasonable takedown requests within a reasonable period of time.
- The automated pipeline is rate-limited to protect both our infrastructure and the third-party APIs we rely on. We may adjust those limits or pause the pipeline without notice if necessary for operational reasons.
